These Terms of Service ("Terms") govern your access to and use of the Smoortech Consulting LLC website (smoortech.com) and associated technology consulting, software engineering, and advisory services.
1. Consulting Engagements & Proposals
All consulting projects, automation implementations, custom software development, and managed retainers are governed by dedicated Statements of Work (SOW) executed between Smoortech Consulting LLC and the client.
2. Intellectual Property & Code Ownership
Unless explicitly agreed otherwise in a written SOW, clients retain 100% ownership of all custom-built source code, database architectures, and digital assets developed specifically for their organization upon fulfillment of agreed project milestones.
3. Limitation of Liability & Estimates
Illustrative calculations, diagnostic estimators, and audit findings provide high-level directional guidance. Specific performance metrics and delivery timetables are defined in formal consulting agreements.
